Corporations are legal entities formed and
governed under legislation. In Alberta, corporations may be federally
incorporated under
the Canada
Business Corporations Act or provincially incorporated
under the Business
Corporations Act (Alberta) and, in limited circumstances, under the Companies Act
(Alberta).
Corporate law generally involves the
formation and maintenance of corporate entities. More specifically corporate law includes:
- incorporation and the initial structuring of the
corporation
- the filing of annual returns
- the preparation and maintenance of required corporate
minutes
- the issuance of shares
- shareholders' agreements
- decision making within the corporation
- corporate restructuring
- extra-provincial registration
