Commercial transactions are largely
governed by the law of contract. Commercial law therefore is primarily concerned with the
structuring of commercial transactions through the negotiation, preparation and
implementation of contractual documentation. Common commercial transactions include:
the purchase of a business either
through the purchase of assets or the purchase of shares;
the leasing of commercial premises;
the formation of partnerships, joint
ventures and other commercial relationships;
commercial lending arrangements;
the protection of intellectual property
rights including trademarks, copyright and patent.
